By using Ezda you agree to these Terms and our Privacy Policy.
These Terms and Conditions ("Terms") apply to your use of the Ezda mobile application, website and related services ("Ezda", "we", "us", "our"). By creating an account, accessing Ezda or using any Ezda feature, you agree to these Terms. If you do not agree, you must not use Ezda.
These Terms also constitute the End User License Agreement ("EULA") between you and Ezda for the Ezda mobile application, including iOS and Android versions, and govern your licence to download, install and use the app.
These Terms are available in English and may be translated into other languages. The contractual language is English. If a French version is later provided, it may prevail in case of contradiction, except where mandatory consumer law requires otherwise.
Ezda has only one type of account: a User account. With one account, a User may act as a Buyer, as a Professional Seller, or both. "Buyer" means a User acting in the buying role in a specific chat or transaction. "Seller" or "Professional Seller" means a User acting in the selling role in a specific chat or transaction and using Ezda for professional or business purposes.
A Consumer is a natural person acting outside their trade, business or profession. A Professional is a person or entity acting for purposes related to their trade, business or profession. Certain legal protections apply only to consumers.
To use Ezda, you must create an account and explicitly accept these Terms (EULA) and our Privacy Policy when prompted in the app (for example by ticking a checkbox or tapping “By creating an account, you agree to our Terms & Conditions and Privacy Policy”).
If you do not accept, you must not create an account and must not use Ezda.
You must keep login details confidential and are responsible for all actions through your account. If you suspect unauthorised use, change your password and contact us promptly.
Before acting as a User, you must pay a one-time application fee (amount and currency shown in the app). It covers onboarding and verification and is generally non-refundable unless mandatory consumer law or an explicit exception applies. We may refuse or cancel your application if you provide false information, do not meet risk/compliance criteria, or law/partners require it.
To become a User, you must complete identity verification, follow instructions, complete liveness checks, and submit clear ID photos. Attempts are limited; too many failures may lock your account. We may refuse or withdraw User status if we suspect fraud, cannot complete verification, or law/partners require it.
To act as a professional User, you must register your company (name, number, date, address, main selling city, business type, specialisation) and upload required documents. Information must be accurate and authorised. We may approve, request changes, or reject if documents are missing/unclear/expired, activity is high risk, or law requires. Only the User who owns the company profile may view or edit it.
Ezda is a marketplace dedicated to fine gemstones. As a professional User, you confirm your business specialises in fine gemstones and listings meet our Fine Gem Standards (accepted types, origins, treatments, minimum clarity). Standards may be updated over time.
As a Buyer you can search gems, open chats, organise appointments, record outcomes, and leave reviews.
You agree to act honestly, avoid pretending to buy without genuine intent, respect appointments, and comply with applicable laws and safety rules.
As a Seller you can list gems, create trips, respond to buyers, negotiate, record results, and receive reviews.
You agree to provide accurate information (including treatments), not hide defects, respect appointments, comply with laws, and not bypass Ezda fees when deals originate from Ezda. We may request proof (certificates, invoices, media); refusal or suspicion of fraud may lead to suspension or termination.
Trips indicate where and when Sellers are available with gems. Trips must use real cities, valid dates, and may require location verification. Fake trips or claiming presence where absent are prohibited. Ezda may update or cancel trips for abuse or issues.
Ezda may offer AI-powered features to help search or describe gems or provide educational content. AI responses are informational only and may be incomplete or erroneous. AI does not replace professional gemological, legal, tax, or investment advice. You remain responsible for your decisions, listing accuracy, and use of AI output, and must not treat AI output as marketing or contractual claims without checking accuracy.
Ezda uses payment providers to process application fees, subscription fees, commissions, and other charges. All fees are shown before payment.
One-time, non-refundable unless mandatory consumer law or explicit exceptions apply.
May apply after reaching a sales threshold. Users must save a valid payment method, are informed of price and billing, and authorise recurring charges. If we cannot charge fees, we may suspend or limit features.
Ezda is primarily for professional Users. For professional Users, no statutory right of withdrawal applies. EU consumers may have a 14-day withdrawal right for qualifying distance contracts unless an exception applies.
Commission may apply to sales initiated through Ezda. Structure is shown in the app or Seller agreement. Users agree to declare sales accurately and pay commission. Hiding or misreporting sales may lead to restrictions or termination.
Fees are shown excluding taxes unless stated. Each User is responsible for applicable taxes, duties, and bank/FX fees. Ezda does not provide tax advice.
Appointments occur outside Ezda's control and at Users' risk. Users are responsible for safe locations, precautions, verifying identity, and verifying gems/payments. Ezda does not guarantee attendance, safety, authenticity, or act as insurer. If unsafe, cancel or leave and contact authorities if needed.
Transactions are solely between Buyer and Seller; Ezda is not a party. Sellers are responsible for existence, ownership, and accurate descriptions (including treatments and origins). Buyers must perform due diligence and inspect gems. Ezda does not guarantee authenticity, value, or appreciation. Certificates are provided by Sellers or third-party labs.
Buyers and Sellers may leave reviews after deals. Reviews must be honest and avoid harassment, defamation, or personal data without consent. Ezda may use ratings internally and remove reviews that violate law or these Terms. Reviews reflect user opinions, not Ezda's views.
Ezda has zero tolerance for objectionable content or abusive users. If you post, share, request, promote, or engage in objectionable content or abusive conduct, we may remove content immediately and suspend or terminate your account without notice, to the fullest extent permitted by law.
Enforcement may include warning, content removal, feature limitations, temporary suspension, permanent termination, device/account blocking, and where appropriate, reporting to competent authorities. We may also preserve relevant data as required for compliance, fraud prevention, or legal claims, as described in the Privacy Policy.
If you see objectionable content or abusive behaviour, please report it using the in-app reporting feature, or by email to contact@ezda.ai with (i) your account identifier, (ii) the username/content/chat involved, (iii) screenshots or evidence, and (iv) a short explanation.
We aim to review reports promptly and take appropriate action within a reasonable time, depending on severity and available information.
Ezda and its original content are owned by Ezda or licensors. You receive a limited, non-exclusive, non-transferable, revocable licence to use Ezda. You must not copy, modify, distribute, or create derivatives, or use Ezda branding without consent, or recreate a competing service.
You own your content but grant Ezda a licence to host, store, display, operate, improve, and promote Ezda. You confirm rights to submit content and that it is legal and non-harmful. You must not upload, publish, or transmit any content that is objectionable, abusive, illegal, or infringes third-party rights. This includes the categories listed in Section 15. Ezda may remove content considered illegal or contrary to these Terms.
Ezda is not under a general obligation to monitor content but must remove or disable manifestly illegal content once properly notified. Notices should be emailed to contact@ezda.ai with identity, description, location, legal reason, and evidence.
Content is stored as needed to operate Ezda while accounts and listings are active. Deleted or deactivated content may be retained (generally up to 5 years) to meet legal obligations, prevent fraud, ensure security, or defend claims. Longer retention may apply for suspected fraud or disputes, within legal limits. After retention, data is deleted or anonymised.
Ezda acts as data controller under EU GDPR and French law. Rights may include access, rectification, erasure, restriction, portability, objection (including profiling and marketing), and instructions after death (France). Contact contact@ezda.ai to exercise rights. Complaints can be lodged with a supervisory authority (in France, CNIL). Details are in the Privacy Policy.
Ezda is provided "as is" and "as available" without guarantee of error-free or uninterrupted service. Features, design, pricing, and platform support may change or be suspended. For significant changes we will use reasonable efforts to inform you.
To the fullest extent permitted, Ezda is not liable for losses related to Buyer and Seller relationships, loss of profits/business/data, or incidents before, during, or after meetings. Ezda does not guarantee authenticity, quality, value, user reliability, or provide financial/legal/investment advice. If liable, total aggregated liability is capped at the higher of fees paid in the prior 12 months or 100 EUR, unless mandatory law requires more. Some jurisdictions may vary.
You agree to indemnify Ezda, its directors, employees, and partners from claims, damages, or costs arising from your use, breach of Terms, violation of law or third-party rights, content you submit, or deals you conclude.
You represent you are not located in or resident of a comprehensively sanctioned country and are not on sanctions or denied parties lists. You agree not to use Ezda in ways that would cause sanctions, export control, or AML violations. Ezda may suspend or terminate if use creates compliance risk.
Ezda may suspend or terminate immediately for breaches of these Terms, including any objectionable content or abusive behaviour (Section 15), suspected fraud/illegal activity, fee non-payment, or legal/compliance requirements. On termination you lose access; some information may be retained as required by law or for legitimate purposes.
French law governs, subject to mandatory consumer protections in your country of residence. EU consumers retain mandatory protections.

For professional Users, courts of Paris have exclusive jurisdiction unless mandatory law provides otherwise. For consumers, competent courts are determined by applicable consumer law (often your place of residence).
We may update these Terms and will publish new versions and update the "Last updated" date. Continued use after changes means acceptance.
